Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Recepta Desk website, products, and services ("Services"), provided by Recepta Desk ("we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use our Services. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

Recepta Desk provides AI-powered receptionist and patient communication software for healthcare clinics, including but not limited to:

The Services are tools that assist clinics with administrative communication. The Services do not provide medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the responsibility of the licensed healthcare providers using the Services.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. SMS Messaging and Opt-In Consent

Opt-In for Clinic Prospects

When you provide your mobile phone number via our website contact or sign-up forms and check the SMS consent checkbox, you expressly opt in to receive text messages from Recepta Desk. These messages may include trial updates, onboarding assistance, scheduling reminders, and service-related notifications.

Your consent is not a condition of purchasing any goods or services.

Message frequency varies based on your interactions with us. Message and data rates may apply. You may opt out at any time by replying STOP to any message. Reply HELP for help. See our SMS Terms for full details.

Opt-In for Patients of Clinics Using Recepta Desk

Clinics that use our Services are responsible for obtaining valid, documented consent from their patients before any SMS messages are sent on the clinic's behalf. Patients opt in through the clinic's intake process (web form, in-person, or verbal acknowledgment during a call). Recepta Desk provides the SMS infrastructure but does not independently solicit patients — the clinic is the entity whose consent relationship with the patient governs.

Patients may opt out at any time by replying STOP. We enforce opt-outs within one message (one final confirmation is sent, then the number is suppressed).

No Marketing Use of Phone Numbers

Phone numbers and SMS opt-in data collected by Recepta Desk are never sold, rented, or shared with third parties for marketing or promotional purposes.

6. Subscription and Billing

The Services are offered on a subscription basis at the rates posted on our website or as agreed in your service agreement. Subscriptions automatically renew unless cancelled before the renewal date. You authorize us to charge your payment method for all applicable fees.

Refunds are handled case by case. No refunds are issued for partial billing periods unless required by law.

7. Cancellation

You may cancel your subscription at any time by contacting support@receptadesk.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Services through that period.

8. HIPAA-Covered Healthcare Communication

HIPAA Business Associate Agreement (BAA) Coverage

Recepta Desk is covered under HIPAA Business Associate Agreements (BAAs) with our infrastructure providers: Amazon Web Services (data storage, compute, and SMS) and Google Cloud (AI inference via Vertex AI). All patient communications transmitted through Recepta Desk, including Protected Health Information (PHI), are encrypted in transit (TLS) and at rest (AES-256), and fully audit-logged for compliance purposes.

You can safely transmit patient information via SMS through Recepta Desk with the confidence that it meets HIPAA security requirements.

Best Practices for SMS Use

While Recepta Desk is BAA-covered and safe for PHI transmission, best practice is to use SMS primarily for appointment logistics:

Sensitive information like diagnoses, treatment plans, or detailed medical history should remain in your EMR. However, if patients voluntarily send PHI via SMS, it is handled securely and audit-logged.

Recepta Desk does not provide medical advice, diagnosis, or treatment recommendations. The AI-generated responses are limited to scheduling, logistics, and general clinic information. Patients with medical concerns should contact their healthcare provider directly or, in an emergency, call 911.

9. Intellectual Property

We retain all rights to the Services, including software, designs, and content. You retain all rights to your own content and data. By using the Services, you grant us a limited license to process your content solely for the purpose of providing the Services.

10. Third-Party Services

The Services rely on third-party providers (such as AWS for SMS delivery and data storage, and Google Cloud for AI responses). We are not responsible for outages, errors, or changes in third-party services that may affect availability.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECEPTA DESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR PATIENTS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Recepta Desk and its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right — including any claim brought by a patient or recipient of messages sent through the Services.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Services ends. Sections that by their nature should survive termination will survive.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in North Carolina.

16. Changes to These Terms

We may update these Terms periodically. The "Last Updated" date reflects the most recent revision. Continued use of the Services after changes constitutes acceptance of the updated Terms.
